Governance and Risk Officer

Key Responsibilities:
- Assist in the development and implementation of a consistent corporate governance framework across all group entities.
- Assist in drafting and maintaining governance-related documentation, including board charters, policies, codes of conduct, and delegation of authority matrices.
- Support the Legal and Compliance Director in ensuring board and committee structures are appropriate, effective, and documented.
- Assist in maintaining group-wide corporate registers, legal structures, and governance records.
- Assist in the roll-out and maintenance of the group’s enterprise risk management (ERM) framework.
- Coordinate risk identification, assessment, and reporting processes across departments.
- Support the preparation of group risk registers, risk heat maps, and regular risk summaries as may be required
- Assist in facilitating internal risk reviews, particularly for operational, strategic, and regulatory risks.
- Assist in reviewing internal control measures across key business functions and jurisdictions.
- Support in developing and updating group policies (e.g. anti-bribery, whistleblower, conflict of interest).
- Assist in the preparation and coordination of governance, legal, and risk-related documentation for external review processes, including responding to information requests and assembling due diligence materials where required.
- Assist in coordinating the dissemination and awareness of internal policies across the group, and support the monitoring of adherence in line with recognized industry best practices.
- Assist in preparing governance-related reports, presentations, and briefing documents as may be required
- Assist in organizing and documenting the activities of various committees, including minute-taking, action tracking, and follow-ups.
- Assist in aligning governance and risk practices across jurisdictions while supporting compliance with local regulatory obligations.
- Liaise with external legal and compliance advisors, corporate service providers, and other stakeholders as directed by the Legal and Compliance Director.
Key Skills & Experience:
- Bachelor’s degree in Law, Business Administration, Risk Management, Governance, or a related field. A relevant certification (e.g. ICSA/CGI, IRM, ISO 31000) is an asset.
- Minimum 3 years’ experience in a governance, legal, risk, or compliance role, ideally within a regulated and international environment.
- Familiarity with corporate governance best practices, internal control standards, and risk management principles.
- Familiarity with enhanced corporate governance standards, including structured committee oversight, disclosure obligations, and group-wide policy alignment, is considered an asset.
- Excellent organizational and communication skills, with a keen eye for detail.
- Experience in regulated iGaming, technology, or digital services sector is a strong advantage.
